9th Annual General Assembly of the Roundtable on Sustainable Palm Oil Members

Notice is hereby given that the 9th Annual General Assembly (GA9) of members of the Roundtable on Sustainable Palm (RSPO) will be held at the Resorts World Sentosa, Singapore on Thursday, 1 November 2012 at 1400 hours for the following purposes:

AGENDA

1. Members’ roll call.
2. Opening Address by the RSPO President, Dr Jan Kees Vis.
3. Report presented by the RSPO President.
4. To confirm the minutes of the last General Assembly (GA8) held on 8 March 2012

To elect Executive Board Members for the following categories:

7. Oil palm growers

· SIAT Group is retiring and is not available for re-election. New Britain Palm Oil (NBPOL) and Olam International Ltd (Olam) have been nominated as candidates. Elections among the Growers category will therefore be held and only members in this category are eligible to vote.

· Felda is retiring and available for re-election. There will be no election and Felda will serve another term as no other nominations have been received.

8. Processors and Traders

· AarhusKarlshamn AB is retiring and available for re-election. There will be no election and AarhusKarlshamn AB will serve another term as no other nominations have been received.

9. Consumer Goods Manufacturers

· Kraftfoods is retiring and available for re-election. There will be no election and Kraftfoods will serve another term as no other nominations have been received.

10. Retailers

· Retailers Palm Oil Group is retiring and available for re-election. There will be no election and Retailers Palm Oil Group will serve another term as no other nominations have been received.

11. Banks and Investors

· Rabobank is retiring and available for re-election. There will be no election and Rabobank will serve another term as no other nominations have been received.

12. Environmental and Conservation NGOs

· WWF- International is retiring and available for re-election. There will be no election and WWF-International will serve another term as no other nominations have been received.

13. Social NGOs

· SawitWatch is retiring and available for re-election. There will be no election and SawitWatch will serve another term as no other nominations have been received.

14. Any other business.

IMPORTANT NOTICE:
 
For all ordinary members who will not be attending the General Assembly, please appoint a proxy and duly complete the proxy form (please download at -
http://www.rt10.rspo.org/c/ga9-proxy-registration/).
 
All proxy form must reach the Secretariat office in Kuala Lumpur either by fax (+603 2201 4053) or email (
[email protected]) by 1700 hour (GMT+8), 31 October 2012.
 
Proxy holders must be physically present at the General Assembly to exercise the vote.

ANNOUNCEMENT ON 9TH GENERAL ASSEMBLY (GA9) OF RSPO MEMBERS
CALL FOR NOMINATIONS FOR EXECUTIVE BOARD ELECTIONS; CALL FOR RESOLUTIONS AND INVITATION TO REGISTER FOR THE 9TH RSPO GENERAL ASSEMBLY

Dear Members of RSPO,

The Roundtable on Sustainable Palm Oil (RSPO) will hold its 9th General Assembly (GA9) of members on:

Date: Thursday, 1 November 2012
Time: 2.00 pm
Location: Resorts World Sentosa, Singapore
 
In accordance with the RSPO Statutes (article 11) and By-Laws (Articles 5.1, 5.2, 5.3 & 5.4), RSPO Members are now invited to submit:

1.       Nominations (including self-nominations) of candidates for the RSPO Executive Board
2.       Proposals/ resolutions for the consideration and endorsement by the General Assembly
3.       Registration of attendance at 9th RSPO General Assembly

The details and explanation are as below:

1. NOMINATIONS (INCLUDING SELF-NOMINATIONS) OF CANDIDATES FOR THE RSPO EXECUTIVE BOARD:

The following positions in the EB are due for election:
 
1.1  Ordinary Membership – Category: Growers
        · Siat Group is retiring and is not available for re-election.
        · Felda is retiring and available for re-election.
 
1.2 Ordinary Membership – Category: Processors and Traders
        · AarhusKarlshamn AB is retiring and available for re-election.

1.3 Ordinary Membership – Category: Consumer Goods Manufacturers
        · Kraftfoods is retiring and available for re-election.

1.4 Ordinary Membership – Category: Retailers
        · Retailers Palm Oil Group is retiring and available for re-election.

1.5 Banks and Investors
        · Rabobank is retiring and available for re-election.

1.6 Environment/Nature Conservation NGOs
        · WWF- International is retiring and available for re-election.
 
1.7 Social/Development NGOs
        · Sawitwatch is retiring and available for re-election.
 
RSPO Ordinary Members are hereby invited to nominate themselves or any other candidate for the upcoming election of the RSPO Executive Board (EB). Only RSPO Ordinary Members are eligible as candidates for the EB position representing their respective membership category.

The EB is responsible for the general management of the RSPO in collaboration with RSPO Secretary-General. The EB will work together with the Secretariat staff to discuss the activities of the association and to guard quality and financial viability. Elected EB members must be prepared to dedicate required time and resources to the RSPO.

Nominations submitted must contain the following:

a. Name of Organization, membership category, membership number, name of nominee, designation in the organization and contact details

b. Profile or bio-data of nominee (maximum one A4 page)
 
Please send your nomination to the RSPO Secretariat by email to [email protected] or fax (+603 2201 4053) or post. All nomination(s) must reach the RSPO Secretariat by no later than 5:00PM, Thursday, 4 October 2012 (Malaysian time, GMT+8). Please note that a strict policy will be enforced, thus, late nominations will NOT be entertained.

2. PROPOSALS/RESOLUTIONS FOR THE CONSIDERATION AND ENDORSEMENT OF THE GENERAL ASSEMBLY:

In accordance with the RSPO Statutes and By-Laws, this call also extends to proposals/resolutions for consideration by the General Assembly. In order for the GA to meaningfully deliberate and decide on proposals/resolutions, these submissions must meet with the requirements stipulated to facilitate proper consideration of proposals within a fixed timeframe.

Proposal must contain the following:

a. Title of proposal and sponsor/proponent (i.e. RSPO member)
b. Summary/background of proposal (maximum one A4 page)
c. Information and/or contact for obtaining full details of proposal

Guidance – the contents of the proposed resolution should not be in conflict with the RSPO statutes and by-laws, anti-trust principles or require changes to the Principles and Criteria. Resolutions should be worded in a manner that allows for a clear For or Against vote and should not contain multiple options.

Please send your proposal to the RSPO Secretariat by email to [email protected] or fax (+603 2201 4053) or post. All submission of proposals must reach the RSPO Secretariat by no later than 5:00PM, Thursday, 4 October 2012 (Malaysian time, GMT+8). Please note that a strict policy will be enforced, thus, late submissions will NOT be entertained.

3. REGISTRATION OF ATTENDANCE AT 9TH RSPO GENERAL ASSEMBLY:

We encourage all ordinary members to register your attendance for the GA9 as soon as possible. The registration can be submitted online at www.rt10.rspo.org/ga9/reg.php

We would also like to take this opportunity to remind you to settle your membership fee before GA9.

A formal Notice of General Assembly along with the proxy form (for those who are unable to attend the GA9) will be sent to members of the RSPO at least 21 days before the GA.
